Terms of Service

Please review these terms carefully. By using Mojo Helpdesk, you agree to be bound by these Terms of Service.

Metadot Corporation (“Metadot”) provides Mojo Helpdesk and its related services (“Service”) subject to your compliance with the terms and conditions (“Terms of Service”) set forth below. Please read the following carefully:

Metadot may update and modify the Terms of Service from time to time. New features that may be added to the Service shall be subject to the Terms of Service. For material changes to the billing, automatic-renewal, or cancellation terms, we will give you notice (for example, by email or a notice within the Service) before the change takes effect, and such changes will not apply retroactively to a billing term you have already paid for. Should you continue to use the Service after a change takes effect, this shall constitute your agreement to it. Violation of any part of the Terms of Service will result in termination of your account.

Account Terms

You must provide your full legal name, a valid email address, and any other required information to complete the sign-up process. You are responsible for maintaining the privacy and security of your account. Metadot will not be held liable for any damage or loss that may result from your failure to protect your login information, including your password. One person may not maintain more than one free account.

Payment and Access

We charge a fee based on your account type and the billing term you select. Mojo Helpdesk is offered on monthly, annual, and multi-year terms (for example, 2, 3, or 4-year subscriptions). The Service is billed in advance for the full billing term you choose, and fees already paid are non-refundable except where a refund is required by law or expressly stated in these terms. If you upgrade your plan after the trial period, the upgrade takes effect immediately and your credit card is charged the difference right away for the remainder of your current billing term. If you downgrade your plan, the downgrade does not change the subscription you have already paid for: you keep your current plan for the rest of the term you paid for, and the lower plan (and its lower price) takes effect at your next renewal. A downgrade does not generate a refund or credit for the current term. The price you pay is fixed for the billing term you have paid for; any fee change applies only to future renewals.

Unless otherwise specified in a separate written agreement between you and Metadot, a multi-year subscription renews for successive one-year terms. If you have entered into a separate written agreement that specifies a subscription term, renewal term, or other renewal conditions, the terms of that agreement will control.

For subscriptions with a term of one year or longer, we will send a reminder before the applicable renewal date stating the renewal date and renewal price. Unless otherwise provided in a separate written agreement, you may cancel renewal at any time before the end of the then-current term. Renewals are charged at the then-current rate for your plan unless otherwise specified in your agreement.

All fees are exclusive of all taxes or duties imposed by governing authorities. You alone are responsible for payment of all such taxes or duties.

Modifications to the Service and Fees

Metadot reserves the right to modify, suspend, or discontinue the Service at any time. Any fee change applies only to future billing terms and never to a term you have already paid for. If a fee change would affect the price of your next renewal, we will notify you directly (for example, by email to the address on your account) at least 30 days before that renewal and before the change takes effect, so you can cancel the renewal if you do not accept the new price. Cancellation and Termination

You may cancel at any time, and canceling is at least as easy as signing up. Canceling means canceling the renewal of your subscription, not the current subscription you have already paid for: your subscription stays active and you keep full access until the end of the term you paid for. You can cancel yourself from the Account screen in the Service's navigation menu, and if you signed up through our sales team or by another method you may also cancel that way. If you cancel online, you do not need to call or speak with anyone to complete it.

There are two things you can do, and they are different. Canceling the renewal stops your subscription from renewing: your subscription stays active and you keep full access to the Service until the end of the billing term you have already paid for (for example, the end of your current month, year, or multi-year term), and it will not renew after that. Separately, you may ask us to close your account and delete its content immediately; if you do, you give up your remaining access for the term. In either case, we will confirm your request.

When you cancel the renewal, you will not be charged again for a renewal. Except where a refund is required by law, canceling does not entitle you to a refund of fees already paid, and there is no refund or credit for the unused portion of a term you chose to end early by closing your account.

Metadot may suspend or terminate your account, without refund, if you violate these Terms of Service or use the Service unlawfully or abusively. If instead Metadot chooses to terminate your account, or to discontinue the Service, for our own convenience and not because of your breach, and you have prepaid for a term that has not yet ended, we will refund the pro-rata portion of the fees for the remaining unused period. We also reserve the right to delete all content associated with your account. Metadot may refuse service to anyone for any reason at any time. You may not use Mojo Helpdesk Services to engage in, foster, support, or promote illegal, abusive, or explicit content in any way. You may not publish, transmit or store on or via the Services any content or links to any content that Mojo Helpdesk reasonably believes is explicit content.

Copyright and Ownership

Metadot claims no intellectual property rights over the content you upload or provide to the Service. Metadot or its suppliers own the intellectual property rights to any and all protectable components of the Service, including but not limited to the name of the Service, artwork and end-user interface elements contained within the Service, many of the individual features, and the related documentation. You may not copy, modify, adapt, reproduce, distribute, reverse engineer, decompile, or dissemble any aspect of the Service which Metadot or its suppliers own.

General Conditions

Your use of the Service, including any content, information or functionality contained within it, is provided “as is” and “as available” with no representations or warranties of any kind, either expressed or implied, including but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You assume total responsibility and risk for your use of this Service.

You agree not to resell, duplicate, reproduce or exploit any part of the Service without the express written permission of Metadot. You may not use the service to store, host, or send unsolicited email (spam) or SMS messages. You understand that the Service can be used for transmission of your content. Customer data transmitted to and from the Service is protected using industry-standard encryption in transit, including TLS.

You may not use the service to transmit any viruses, worms, or malicious content. Metadot makes no warranties regarding (i) your ability to use the Service, (ii) your satisfaction with the Service, (iii) that the Service will be available at all times, uninterrupted, and error-free (iv), the accuracy of mathematical calculations performed by the Service, and (v) that bugs or errors in the Service will be corrected.

Metadot, its affiliates and its sponsors are neither responsible nor liable for any direct, indirect, incidental, consequential, special, exemplary, punitive or other damages arising out of or relating in any way to your use of the Service. Your sole remedy for dissatisfaction with the Service is to stop using the Service.

If any provision of the Terms of Service is held invalid or otherwise unenforceable, the enforceability of the remaining provisions shall not be impaired thereby. The failure of Metadot to exercise any right provided for herein shall not be deemed a waiver of any right hereunder. The Terms of Service sets forth the entire understanding between you and Metadot as to the Service and supersedes any prior agreements between you and Metadot (including, but not limited to, prior versions of the Terms of Service).
